Terms of Service

These Terms of Service ("Terms") govern your use of XaaX, a SaaS platform operated by OSTeam B.V. ("OSTeam", "we", "us"). By registering for or using XaaX, you ("Customer") agree to these Terms.

If you are accepting on behalf of a company, you represent that you have authority to bind that company.

XaaX is a modular operations platform providing time tracking, project management, CRM, reporting and related tools for small and medium-sized businesses (SMEs).

We reserve the right to modify, suspend or discontinue any part of the service with reasonable notice. We will not make changes that materially reduce core functionality without giving active subscribers at least 30 days' notice.

• New accounts receive a 14-day free trial with full access to all activated modules.
• No credit card is required to start a trial.
• At the end of the trial, access is suspended until a paid plan is activated.
• Trial data is retained for 90 days after expiry to allow recovery if you upgrade.

• Paid subscriptions are billed monthly in advance in Euros (EUR).
• Payments are processed by Mollie B.V. Mollie's terms apply to the payment transaction itself.
• Your subscription renews automatically each month unless cancelled.
• Prices are listed on the pricing page. We will give at least 30 days' notice of any price increase.
• All prices are exclusive of VAT. Dutch VAT (BTW) applies where required by law.

• You may cancel your subscription at any time from the Billing section of your admin panel.
• Upon cancellation, you retain access until the end of the paid billing period. No partial-month refunds are issued.
• If we discontinue the service, we will provide a pro-rata refund for any unused prepaid period.

You may not use XaaX to:

• Violate any applicable law or regulation.
• Upload or transmit malicious code, spam or harmful content.
• Attempt to gain unauthorised access to other tenants' data or our infrastructure.
• Resell or sublicense access to the platform without our written consent.

We may suspend accounts that violate these rules immediately and without refund.

Your use of XaaX is also governed by our Privacy Policy, which describes how we collect, use and protect personal data in accordance with GDPR.

You retain ownership of all data you input into XaaX. You grant us a limited licence to process that data solely to provide the service. We do not access your business data except to support you or to comply with legal obligations.

For customers subject to GDPR, OSTeam acts as a data processor and you act as the data controller for the personal data of your employees and contacts entered into XaaX. These Terms incorporate a data processing agreement consistent with GDPR Article 28. A full DPA is available on request at hello@osteam.nl.

XaaX and all related software, design and documentation are owned by OSTeam B.V. and protected by copyright and other applicable laws. These Terms do not grant you any intellectual property rights except the limited right to use the service during an active subscription.

To the maximum extent permitted by Dutch law:

• The service is provided "as is". We do not guarantee uninterrupted or error-free operation.
• OSTeam's total liability for any claim arising from these Terms is limited to the fees paid by you in the 3 months preceding the claim.
• We are not liable for indirect, incidental, consequential or loss-of-profit damages.

These Terms are governed by the laws of the Netherlands. Any disputes shall be submitted to the competent court in Oost-Brabant, Netherlands, unless mandatory consumer protection law provides otherwise.

We may update these Terms to reflect changes in the service or legal requirements. Active subscribers will be notified by email at least 14 days before material changes take effect. Continued use of the service after the effective date constitutes acceptance.
